1. Company Information
N&D Co. is a partnership-based freelance agency registered and operating in India. Although we currently do not have a registered address, we maintain a professional office setup in Barrackpore, Kolkata.
2. Services Offered
N&D Co. provides a variety of creative, technical, and marketing services including (but not limited to):
- Branding and Logo Design
- Web Design and Development
- SEO and Digital Marketing
- Content Creation and Copywriting
- Photography, Videography & Post-Production
Most services are delivered by our in-house team, with select work managed by approved freelancers or subcontractors depending on the project.
We serve both individual (B2C) and business (B2B) clients.
3. Client Engagement
Clients contact us through our website's contact form, by email, or via phone. We do not require user accounts or login credentials.
Before initiating any project, we prepare a detailed contract outlining the scope of work, payment terms, timelines, and responsibilities. By agreeing to our proposal, the client enters into a binding service agreement.
4. Pricing & Revisions
We offer both fixed-price and hourly project pricing, depending on the client's needs.
Revisions:
Each project typically includes 2–3 rounds of revisions. Additional changes beyond the agreed scope are billed at an hourly rate, which will be communicated and approved before proceeding.
5. Payments & Refund Policy
Payment Methods:
We accept payments via UPI, Bank Transfer, Razorpay, and PayPal.
Advance:
A 50% upfront payment is required to begin a project. The remaining balance is due upon project completion and before final delivery.
Late Fees & Cancellation:
- • A 15-day grace period is granted for overdue payments, after which late fees may apply.
- • If payments are not made within 30 days, we reserve the right to cancel the project.
- • No refunds are provided once work has commenced.
- • If a project is canceled before work starts, a full refund will be issued.
- • If canceled mid-way, charges apply for the portion of work completed.
6. Ownership & Intellectual Property
Upon full payment, the client receives ownership of all final deliverables. However, N&D Co. retains the right to showcase the work in its portfolio, social media, and marketing materials unless explicitly prohibited in writing by the client.
All third-party assets (e.g. fonts, stock images) used in the project will be properly licensed, and licensing documentation will be provided to the client.
7. Confidentiality & Data Protection
We collect basic client information such as names, contact details, and project requirements for communication and delivery purposes. Your data is stored securely and is not shared with third parties without your explicit consent, except where required by law.
We implement strict data protection protocols including encryption, secure storage, and limited access policies.
8. Client Responsibilities & Acceptable Use
Clients are responsible for:
- Providing accurate information and necessary assets
- Approving deliverables in a timely manner
- Ensuring the legality of all submitted content
We do not permit any illegal, defamatory, abusive, or otherwise unethical project requests. We reserve the right to reject or terminate any engagement that violates this policy.
9. Disclaimers & Limitation of Liability
- We do not guarantee specific results (e.g. SEO rankings or conversion rates).
- N&D Co. is not liable for indirect, incidental, or consequential damages arising from delays, third-party tools, or project results.
- Our responsibility is limited to delivering services as outlined in the project agreement.
10. Warranty & Support
We provide a 7-day warranty period post-project completion for minor corrections or technical issues, free of charge. After this period, additional work may be billed separately.
11. Termination of Services
We reserve the right to terminate or suspend any ongoing project or service if:
- The client violates these Terms
- The client fails to make payments
- The project involves illegal or unethical content
If terminated, the client is billed for the portion of work completed up to that point. Any unpaid dues remain the client's responsibility.
12. Governing Law & Dispute Resolution
These Terms are governed by Indian law. Any disputes or claims shall be resolved first via mediation or arbitration. If unresolved, the matter will be subject to the exclusive jurisdiction of the courts in Kolkata, India.
13. Updates to Terms
We reserve the right to update or modify these Terms of Service at any time without prior notice. Changes will be posted on this page. Clients are encouraged to review these Terms periodically.
Continued use of our services implies acceptance of the updated terms.
